Terms of Service

Effective September 23, 2026

These Terms of Service ("Terms") are an agreement between you and 1889 Consulting Group, LLC ("Trading Post," "we," "us"). They govern your use of the Trading Post website, marketplace and related services (the "Service"). By creating an account or using the Service, you agree to these Terms.

Section 14 contains a binding arbitration agreement and class action waiver. It affects how disputes are resolved. Please read it.

1. What Trading Post is

Trading Post is a marketplace where independent sellers offer AI productivity tools — prompt packs, scripts, agents and supporting files — as versioned digital downloads ("Products"), and buyers purchase them. Trading Post also provides messaging, reviews and a community forum.

Sellers, not Trading Post, create and are responsible for the Products they list. We provide the venue, process payments through our payment partner, and may review refund requests and moderate content, but we are not the seller of any Product and do not guarantee any Product's quality, safety, legality or fitness for a particular purpose.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You must give accurate information when you register and keep it current.
  • You are responsible for everything that happens under your account. Keep your password and access to your email secure, and tell us promptly at the address below if you suspect unauthorised use.
  • One account may both buy and sell. You may not create an account for someone else, or a new account after we have suspended yours.

3. Buying

Price. You pay the price shown on the listing, plus any applicable taxes shown at checkout. Payments are processed by Stripe; we do not store your full card details.

Licence. When you buy a Product, the seller grants you a non-exclusive, non-transferable licence to download and use it for your own personal or internal business purposes, unless the listing states broader or narrower terms. You may not resell, redistribute, sublicense or publicly share a Product, or pass it off as your own work.

Downloads and updates. Each purchase includes a limited number of downloads per version, shown with your purchase. You can ask the seller for more. When a seller publishes a new version, it appears under your existing purchase. We do not guarantee that a seller will keep updating, supporting or listing a Product.

Refunds. All sales are final. Refunds are not guaranteed and are granted solely at our discretion, after an administrator reviews a refund request, as set out in our Refund Policy. Filing a payment dispute or chargeback without first using the refund process may lead us to suspend your account.

4. Selling

Payments. To sell, you must connect a Stripe account and complete Stripe's onboarding. Payment processing for sellers is provided by Stripe and is subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Terms"). By selling on Trading Post you agree to the Stripe Terms, as Stripe may change them. You also authorise us to share information about you and your transactions with Stripe, as needed for it to provide those services.

Fees. Trading Post charges a platform fee of 10% of each sale, deducted at the time of sale. Listing is free. Stripe may charge its own processing fees. We may change our fees with at least 30 days' notice; changes do not apply to sales already made.

Your promises. For every Product you list, you promise that:

  • you own it or have every right needed to sell and license it;
  • it and its listing do not infringe anyone's intellectual property, privacy or other rights;
  • it contains no malware, hidden functionality, credential harvesting or code that acts without the buyer's knowledge;
  • the listing accurately describes what the buyer will receive; and
  • it complies with applicable law and with the terms of any AI model or service it is designed to be used with.

Refunds and chargebacks. If we grant a refund, or a buyer wins a chargeback, on one of your sales, the amount may be recovered from your connected account. We may reverse our platform fee on refunded sales.

Taxes. You are responsible for reporting and paying any taxes on your sales income. Where the law requires us or Stripe to collect or report taxes or to issue tax forms, you agree to provide the information needed.

Licence to us. You grant Trading Post a worldwide, non-exclusive, royalty-free licence to host, store, copy, display and deliver your Products and listings in order to operate and promote the Service, and to deliver Products to buyers who have purchased them. This licence continues for existing buyers after you remove a listing.

5. Your content

You keep ownership of what you post — listings, reviews, forum posts, comments, messages and support tickets ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and distribute Your Content as needed to operate, improve and promote the Service. You are responsible for Your Content and confirm that you have the right to post it.

Reviews must reflect your genuine experience with a Product you purchased. Sellers may not review their own Products, offer incentives for reviews, or pressure buyers to change a review.

6. Acceptable use

Our Content Policy sets out in detail what may be sold and posted. In short, you agree not to:

  • list, share or link to anything illegal, infringing, deceptive, sexually explicit, hateful or harassing;
  • upload malware, or Products designed to break into systems, evade security controls, scrape data without permission or violate the usage policies of an AI provider;
  • harass, threaten, spam or impersonate other users;
  • arrange to pay or be paid outside Trading Post for a Product found through Trading Post;
  • manipulate reviews, ratings or search placement;
  • scrape, copy or resell the Service or its catalogue, or overload or interfere with it; or
  • use the Service in breach of any law or of these Terms.

7. Moderation and reports

You can report content you believe breaks these Terms. We may, but are not obliged to, review content, and we may remove content, unpublish listings, withhold reviews, or restrict or suspend accounts that we reasonably believe break these Terms or put users or Trading Post at risk.

8. Copyright complaints

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to our designated copyright agent:

Include: your signature; identification of the work; identification of the material and where it appears on Trading Post; your contact information; a statement of good-faith belief that the use is unauthorised; and a statement, under penalty of perjury, that your notice is accurate and that you are authorised to act for the copyright owner. We will end the accounts of repeat infringers in appropriate circumstances.

9. Trading Post's property

The Service, including its software, design, names and logos, belongs to Trading Post and its licensors. These Terms do not give you any right to use our trademarks. Feedback you send us may be used without obligation to you.

10. Privacy

Our Privacy Policy explains how we collect and use personal information. Message content is private between participants, but we may access it to investigate reports, prevent fraud, resolve disputes or comply with the law.

11. Ending your account

You may delete your account at any time from your profile. We may suspend or end your access if you break these Terms, if we are required to by law, or if we stop offering the Service. When an account ends, we keep records of purchases, sales and payments as required for tax, accounting and legal purposes. Sections that by their nature should survive — including licences granted to buyers, payment obligations and Sections 12 to 16 — survive.

12. Disclaimers

The Service and all Products are provided "as is" and "as available." To the fullest extent permitted by law, Trading Post disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. Products are made by independent sellers. AI tools can produce inaccurate, incomplete or harmful output. You are responsible for reviewing that output, and for how you use it.

13. Limitation of liability

To the fullest extent permitted by law, Trading Post will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Trading Post's total liability for any claim arising out of these Terms or the Service is limited to the greater of (a) the amounts you paid to, or the fees we earned from you through, Trading Post in the 12 months before the claim, or (b) US $100.

You agree to indemnify and hold Trading Post harmless from claims, losses and costs, including reasonable legal fees, arising from Your Content, your Products, your use of the Service or your breach of these Terms.

14. Disputes and arbitration

Try to resolve it first. Before filing a claim, you agree to email us at [email protected] with a description of the dispute and give us 30 days to try to resolve it informally. We will do the same.

Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The Federal Arbitration Act governs this section. The arbitration may be held by video or in Missoula County, Montana, or in your county of residence if you choose.

Exceptions. Either party may bring an individual claim in small claims court, or seek an injunction in court for infringement or misuse of intellectual property.

Class action waiver: you and Trading Post may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative proceeding.

Opting out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms. Include your name, your account email and a clear statement that you are opting out.

15. Governing law

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law rules. Any matter not subject to arbitration will be heard exclusively in the state or federal courts located in Missoula County, Montana, and both parties consent to their jurisdiction.

16. General

  • These Terms, with the Privacy Policy and any policies they reference, are the entire agreement between you and Trading Post about the Service.
  • If any part is found unenforceable, the rest stays in effect.
  • Our not enforcing a provision is not a waiver of it.
  • You may not transfer your rights under these Terms. We may transfer ours as part of a merger, acquisition or sale of assets.
  • We are not liable for delays caused by events beyond our reasonable control.

17. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you by email or in the app before it takes effect, and we may ask you to accept the new Terms to keep using your account. The effective date at the top shows the current version.
